Group Governance Officer
Want to see how a bank is really run? As Group Governance Officer at Avarda Bank, you’ll take real responsibility for corporate administration and policies – close to the Board.
About Avarda Bank
Avarda Bank AB (formerly TF Bank) is a Swedish bank listed on Nasdaq Stockholm. The bank was founded in Borås in 1987 and today offers payment, savings and lending solutions to millions of customers in 14 European countries. Our business has two areas. Everyday Finance, our main growth area, covers credit cards and e-commerce solutions. Consumer Lending covers one-off credit needs. We are a growing, profitable bank with a lean organisation, so you get close to decisions and see the impact of your work.
About Group Governance
Group Governance makes sure Avarda is run in a sound, transparent and compliant way, and keeps the governance framework practical and useful for the business. The function is responsible for the Group’s internal governance, sustainability and ESG, and customer complaints. Our responsibilities include:
Governing documents: we own the Group’s framework of policies, instructions and guidelines, including the CEO instructions, and make sure every internal rule is reviewed at least once a year.
Board and corporate administration: we run the administration of all subsiduaries in the Group, including reporting to and from the Boards and their committees.
Corporate Committee: we chair and run the Group’s central forum for internal governance, compliance reporting and risk follow-up, and report from it to the CEOs and Boards.
Internal audit: we are the main contact point for the outsourced internal audit, from the annual audit plan to follow-up of recommendations.
Outsourcing: we set the framework for managing outsourcing arrangements and report on them to the Board every year.
Product and process governance: we design the processes for new product approval (NPAP), process documentation and portfolio planning.
ESG and sustainability: we lead the Group’s ESG programme, double materiality assessment, sustainability reporting (CSRD/ESRS, Pillar 3) and the integration of ESG into risk management.
About the Role
As Group Governance Officer you will work closely with the Head of Group Governance and ESG and take ownership of designated areas within the function, with a focus on corporate administration and governing documents. Most of our subsidiaries are Swedish companies, so Swedish company law will be a central part of your day-to-day work. The scope may evolve over time in line with the needs of the function and your own development.
Main tasks:
Be responsible for board and corporate administration for our subsidiaries, including board meetings, minutes, general meetings and filings with the Swedish Companies Registration Office (Bolagsverket)
Own and maintain the Group’s policies and governing documents, and coordinate their annual review to ensure regulatory compliance and quality
Support the Corporate Committee and the reporting to the Boards and their committees
Deliver, develop and continuously improve governance processes, templates and frameworks
Follow regulatory developments and help translate new requirements into our governance framework
Collaborate with internal functions and stakeholders to ensure timely and high-quality delivery
Contribute to other areas within the function as needed
Who you are
You have a law degree (juristexamen) or another relevant university degree with a solid understanding of Swedish company law (aktiebolagslagen). You may have a few years of experience from a law firm, a public authority, compliance, governance or a similar role, preferably in a regulated environment. Or you are earlier in your career and have a real interest in regulation and corporate governance. Familiarity with banking regulation is a plus, but you’ll learn a lot along the way.
You are:
Highly trustworthy and discreet
Structured and detail-oriented, and able to manage several priorities at once
Able to work independently and to ask for guidance or raise concerns early
Able to explain complex matters in a clear and accessible way
Service-minded and collaborative, and comfortable working within structured processes
